Welcome to Materialize, a product of Harper AI, Inc., a Delaware corporation ('Materialize,' 'we,' 'us,' or 'our'). Materialize is a consignment marketplace for surplus, excess, and obsolete industrial parts and equipment: manufacturers consign inventory they no longer need, and we list it and sell it to buyers through the Materialize store, alongside tools that turn inventory data into practical insight. Acceptance of Terms

By accessing or using our platform, Materialize, in any way, whether by visiting our website at trymaterialize.com, uploading content, or merely browsing, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. These terms constitute a legally binding agreement between you and Harper AI, Inc. If you do not agree with any part of these terms, you must not use our services.

Description of Service

Materialize offers two main services. First, a consignment marketplace: manufacturers consign surplus, excess, or obsolete inventory to Materialize, and we list and sell those items to buyers through the Materialize store at shop.trymaterialize.com, coordinating payment, shipping logistics, and support for each sale. Second, inventory analysis: users can submit their inventory data, upon which we deliver detailed reports tailored to show trends, usage patterns, and potential forecasts, designed to aid in making informed inventory decisions. Our aim is to help users manage their inventory more efficiently and with better outcomes.

User Accounts

Creating an account may be necessary to access certain features of Materialize. When creating your account, you agree to provide true, accurate, and complete information about yourself and to update this information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

User Obligations and Conduct

Users of Materialize are expected to use the platform responsibly. Actions such as uploading unauthorized content, infringing on others' rights, attempting to breach service security, scraping or bulk-extracting platform content or data without our written consent, or disrupting the platform's operations in any manner are strictly prohibited.

Content Ownership and Permissions

You retain ownership of the content you upload to Materialize. By providing content, you grant Harper AI, Inc. a worldwide, non-exclusive license to use, reproduce, and display such content in connection with the service provided by Materialize.

Sales, Seller of Record, and Revenue Sharing

Items consigned to Materialize are sold to buyers through the Materialize store. Except where explicitly stated otherwise, Materialize (Harper AI, Inc.) is the seller of record for products sold on the store, and the sales contract for each purchase is formed between the buyer and Materialize; as the consigning manufacturer, you fulfill confirmed orders by shipping directly to the buyer, with shipping labels and logistics coordinated by Materialize. Sales operate on a revenue-sharing basis: when an item is sold, the proceeds are divided between the manufacturer (you) and Harper AI, Inc. according to the terms agreed for each consignment. We aim to make the process transparent and efficient, ensuring you are fully informed of any fees and the exact revenue share you will receive before you list an item, and payments are processed and issued in accordance with the terms agreed upon for each sale. Purchases made through the store are additionally governed by the store's Terms of Service, Shipping Policy, and Returns & Refunds Policy posted at shop.trymaterialize.com.

Disclaimer of Warranties; Limitation of Liability

Materialize and all related services are provided on an 'as is' and 'as available' basis without any warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability or fitness for a particular purpose. Harper AI, Inc. does not warrant that the service will be uninterrupted or error-free. In no event shall Harper AI, Inc. be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of Materialize, whether or not such damages were foreseeable. To the maximum extent permitted by law, Harper AI, Inc.'s total liability arising out of or relating to these Terms or the services shall not exceed the greater of (i) $100 or (ii) the amounts you paid to Materialize in the six (6) months preceding the event giving rise to the liability, and your sole additional remedy is to discontinue using the service.

Modifications to the Terms or the Service

Harper AI, Inc. reserves the right, at its sole discretion, to modify or replace these Terms at any time. When changes are made, we will provide notice through the service, sending you an email, and/or by some other means. It is your responsibility to check the Terms of Use periodically for changes. The effective date shown at the top of this page identifies the current version of these Terms, and your continued use of the service following the posting of any changes constitutes acceptance of those changes.

General Terms

These Terms constitute the entire agreement between you and Harper AI, Inc. regarding Materialize. They are governed by the laws of the State of California, without regard to conflict of law principles. Should any part of these Terms be held invalid or unenforceable, the remaining portions continue in full effect.
